This Agreement outlines the terms and conditions between:

and the Client, who agrees to the terms below upon registering via the Adster.co.nz platform and proceeding with any of our website rental services.
By using our services, you acknowledge that you have read, understood, and agreed to these terms in full.
Service Overview
Adster.nz provides lease-to-own website packages tailored for small and medium-sized businesses in New Zealand.
Each package includes a custom-designed website, secure hosting, and ongoing support during the lease term — all with no large upfront payment and no charges until your homepage mockup is approved.
Available Website Rental Plans
· 1-page website – 12-month lease
· 6-page website – 18-month lease
· 15-page website – 22-month lease
· Custom website (2–20 pages) – 12 to 24-month lease depending on project scope
Ownership & Hosting
· Adster.nz retains full ownership of the website during the rental period
· Full ownership is transferred to the Client upon completion of the lease and payment of a NZD 130 ownership transfer fee
· Hosting is included free of charge throughout the rental period
Third-Party Platform Limitations
Adster.nz builds and manages websites using select third-party platforms, each governed by their own terms of service.
As such, Adster cannot be held responsible for limitations specific to those platforms, including (but not limited to):
· The inability to transfer certain internal site structures
· Restrictions on particular integrations
· Future changes to subscription terms or platform pricing
1.0 Definitions and Interpretation
For the purposes of this Agreement, the following terms shall have the meanings below:
1.1 Section
A distinct content block on a webpage, such as text, images, or functional features.
1.2 Call to Action (CTA)
A button or link designed to prompt user interaction — for example, submitting a form or booking a consultation.
1.3 Hosting
The service provided by Adster.nz to keep the website live and accessible online.
1.4 Domain Name
A unique website address (e.g. www.businessname.nz). Domain names are not included in rental plans.
Clients must provide 3 preferred options.
Typical costs:
– .com: NZD $20–$35
– .nz: NZD $30–$45 and beyond
If Adster manages registration or annual renewal, a NZD 25 handling fee applies per action.
1.5 Add-on
An optional feature or upgrade billed separately — such as additional pages, integrations, or extra language versions.
1.6 Template
A pre-designed website layout, later customised to reflect the Client’s brand identity and content.
1.7 Page Add-on
A full page added to the base package, billed at NZD $12/month.
1.8 One-page Website
A scrolling website made up of up to 8 structured sections.
1.9 Six-page Website
A multi-page structure typically including: Home, About, Services, Contact, Gallery, and FAQ.
1.10 Responsive Design
A layout that automatically adjusts to fit mobile phones, tablets, and desktops.
1.11 Customisation
Design adjustments based on the Client’s branding, content, and personal preferences.
1.12 Content Management System (CMS)
An advanced website platform like WordPress, used for blogs, user access, or marketing tools.
1.13 Non-CMS Website
A streamlined website built on visual editors (e.g. Wix), delivered as a complete product.
1.14 Deployment
The point at which the website is launched online following homepage mockup approval.
1.15 Maintenance
Ongoing technical support, bug fixes, and minor content updates during the rental period.
2.0 Scope of Work & Timelines
2.1 Website Setup Process
Upon signing up for the Adster.nz “Rent-a-Web” programme, the Client is required to complete an online design questionnaire. This allows the Contractor to gather key business information, branding preferences, structural requirements, and relevant content.
The Contractor will:
• Provide a homepage mockup within 7 to 8 business days
• Deliver a complete Beta version (structure, layout, and placeholder content) within 15 days of receiving all required material from the Client
Note: These timeframes may be adjusted if there are delays in the submission of essential content.
2.2 Mockup and Beta Version Content
To help the Client visualise their future website, the Contractor will:
• Provide placeholder text based on the Client’s questionnaire responses
• Use AI-generated or royalty-free images to illustrate layout and branding
• Apply basic branding elements (colours, logo, structure) for realistic presentation
The Client may later request to replace all placeholder text and images with their own content at no additional charge, provided the changes remain within the scope of the selected plan.
2.3 Beta Approval, Work Sessions & Rental Start
Before the Beta version is published, the Contractor will organise up to two collaborative work sessions (via video call or guided screen-share) with the Client. These sessions (typically 1–2 hours each) are designed to allow the Client to:
· Explore the full website
· Review key pages, features, and overall structure
· Provide feedback to fine-tune the layout, navigation, and design
The Contractor will then implement the agreed revisions following these sessions.
Once the Beta version is finalised and published as a fully navigable website (either under the Client’s domain or a temporary URL), a 10-day review period begins. During this time, the Client may request:
· Basic edits, corrections, or bug fixes
· Minor layout or navigation adjustments
After this review window, any major revisions or structural changes will be invoiced separately, as outlined in Section 4.3.
Monthly rental payments begin as soon as the Beta version is published, even if the Client has not yet submitted all final images or written content.
Note: These two initial work sessions are designed to encourage clear, collaborative decision-making early on, ensuring your website aligns with your goals.
This approach allows us to offer an affordable, no-upfront-cost model — but it also means that ongoing re-evaluations or repeated major changes are not included in the rental agreement and will be billed accordingly.
We believe in thoughtful design — not endless back-and-forth.
2.4 Hosting & Domain Connection
The Contractor agrees to:
• Host the website on a secure platform for the full duration of the rental period
• Connect the website to the Client’s domain (either provided by the Client or purchased on their behalf)
• Perform basic uptime monitoring and performance checks
Domain name registration and renewal are subject to third-party provider pricing.
If domain management is handled by Adster.nz, a flat NZD $25 administration fee applies for the initial setup and each annual renewal.
If the Client already owns the domain name, then:
• The Contractor will supply the necessary DNS records
• The Client is responsible for forwarding these records to their domain name provider to point the domain to the completed website
• DNS records will be provided once the site is ready for launch
Support can be offered upon request if the Client requires assistance updating the records with their registrar.
3.0 Rental Plans & Payment Terms
3.1 Lease Options and Pricing
All packages include the following services:

All plans include:
· Free hosting throughout the rental term (optional low-cost cloud hosting available)
· Responsive design for desktop, tablet, and mobile
· One free professional email address
· Monthly traffic report
· Basic SEO setup
· Free minor content updates
· Ongoing technical support within 24 hours during the rental term
(Priority support available — 1-hour response guaranteed with opt-in. See section 4.2)
3.2 Add-On Pages, Custom Features, Languages & Integrations
· Additional pages beyond the selected plan are billed at NZD $12/month per page
· Additional languages can be added for NZD $5/month per language
· Custom enhancements (e.g. animations, bespoke layout blocks, third-party integrations) may incur additional fees, which will be quoted in advance based on scope
3.3 Setup & Activation Fee
A one-time setup fee of NZD $112 is only charged after the homepage mockup is approved and the Client chooses to proceed.
No payment is required prior to that stage.
3.4 Monthly Payments
Monthly rental payments begin as soon as the Beta version of the website is published online.
The Client may still request to replace placeholder content or images after the site goes live, but the website will be considered active and fully operational, and billing will not be delayed.
Major changes or structural revisions beyond the two included work sessions will be quoted separately and billed at the standard rate of NZD 40/hour, payable in advance of implementation.
If the Client chooses to delay site publication after design approval, rental fees may still be invoiced, as the design infrastructure and core service have already been delivered.
3.5 End-of-Lease Ownership Transfer
At the end of the lease term, and once all rental payments have been fully completed, the Contractor will transfer full administrative ownership of the website to the Client for a one-time transfer fee of NZD 130.
The transfer includes:
· Migration or handover of login credentials for the website platform
· Domain reassignment (if applicable)
· Removal of Adster’s administrative access
· A final technical check to ensure the website is fully functional at the time of transfer
Optional: Clients may subscribe to an ongoing support plan after the transfer. This includes:
· Continued hosting with annual renewal (NZD 340/year)
· Priority support for small updates
· Assistance with domain renewal

3.6 Payment Method
All monthly rental payments and related fees must be paid through a secure PayPal subscription.
The Client will be invited to activate their subscription once the Beta version of the website is published online.
Payments are automatically processed on the 5th of each month until the lease ends or the agreement is terminated.
4.0 Support & Post-Rental Services
4.1 Ongoing Support During the Rental Period
During the active rental period, the Contractor provides the following support at no additional cost:
· Two scheduled revision sessions during the development phase (typically 1–2 hours each) to align layout, content, structure, and navigation
· A 10-day post-launch review period for fixing minor issues (e.g. typos, broken links, navigation problems)
· Technical support for issues related to the initial site build, hosting disruptions, or minor fixes
4.2 Optional Retainer Plan / Priority Support
Clients may choose to subscribe to a priority support plan at NZD $15/month, which includes:
· Priority assistance with faster response times during or after the rental period
· Help with domain renewals and other technical inquiries
· Basic website updates, if applicable (up to 30 minutes per month)
· Uptime monitoring and plugin health checks (if relevant)
This plan can be activated at any time via written request.
Post-Rental Website Hosting
Clients may continue hosting their website on Adster’s infrastructure for an annual fee of NZD 340 annually
This includes:
· Standard uptime coverage
· Server maintenance
· Technical support related to hosting infrastructure
Domain Name Renewal
If the domain name was initially registered through Adster, Clients may choose to continue having Adster manage the renewal process.
Renewal will be billed as:
NZD 25 management fee + the registrar’s renewal cost, as per current domain provider pricing.
Invoices for these services will be issued annually. Renewal fees must be paid at least 15 days before the domain’s expiration date.
⚠️ Failure to settle renewal fees on time may result in service suspension or permanent deletion of hosted content after 30 days of non-payment.
5.0 Website Transfer After Rental Completion
5.1 Ownership Transfer
At the end of the agreed rental term, and once all outstanding payments (including rental fees and the transfer fee) have been fully settled, the Contractor will transfer full website ownership to the Client as follows:
· For Wix or Hostinger: Full access to the relevant platform account (e.g. clientname@adster.nz) will be transferred to the Client. This includes all associated hosting, email accounts, and website builder assets.
⚠️ Due to platform limitations, website structure and code cannot be migrated outside of their native environments.
· For WordPress: The website may be migrated to the Client’s own hosting using standard file and database export methods, upon request.
Important notes:
· Transfers are subject to each platform’s terms of service and may require identity verification or written consent.
· After transfer, Adster will revoke all administrative access and will no longer be responsible for support, hosting renewals, content updates, or any platform-related issues unless a new support agreement is signed.
· The Client assumes full responsibility for hosting, backups, domain renewals, and compliance with the hosting provider’s terms of service.
5.2 Third-Party Limitations
Adster.nz is not liable for any errors, data loss, or service disruptions caused by third-party platforms such as hosting providers, domain registrars, or payment gateways.
Any configuration issues or integration failures that arise after the website has been transferred are considered outside the scope of this rental agreement.
5.3 Client Responsibilities
The Client agrees to provide complete and accurate information required to create and deliver the website. This includes:
· Completing the design questionnaire
· Supplying all relevant text, images, and branding materials
· Responding promptly to requests for feedback
⚠️ Delays in submitting content may affect project timelines but do not postpone billing once the Beta version of the website has been published online.
5.4 Legal & Regulatory Compliance
The Client is solely responsible for ensuring that their website complies with applicable New Zealand laws and regulations, including (but not limited to):
· The Privacy Act 2020
· The Fair Trading Act
· The Electronic Transactions Act
The accuracy and legality of all published content — including business claims, disclaimers, privacy notices, and legal disclosures — are the sole responsibility of the Client.
The Client is also responsible for:
· Keeping login credentials secure
· Managing domain and hosting renewals after the transfer unless continuing under an Adster support plan
5.5 Client Agreement
The Client agrees not to upload, request, or include any content that:
· Is unlawful, defamatory, discriminatory, or violates New Zealand law
· Infringes on copyright or intellectual property without appropriate permission
· Contains malware, trackers, or third-party scripts that pose security risks
The Contractor reserves the right to refuse or remove any such content at its discretion.
5.6 No Guarantee Clause
Adster.nz does not guarantee any specific business results, search engine rankings, or traffic volumes unless explicitly agreed upon as part of a separate digital marketing agreement.
5.7 Timeline Disclaimer
While Adster.nz aims to deliver within the agreed timelines (e.g., 7–8 business days for the homepage mockup and 15 business days for Beta launch), delays caused by:
· Client inaction
· Platform outages
· Third-party service issues
are outside the Contractor’s control and may affect delivery dates.
6.0 Client Content Responsibility
6.1 Client-Provided Materials
The Client is solely responsible for the accuracy, legality, and originality of all content provided for use on the website, including but not limited to:
· Text, images, product descriptions, branding elements, external links, and claims
Adster does not verify or assume liability for:
· Copyright violations
· Defamatory content
· Fraudulent, misleading, or inaccurate representations
6.2 Use of Placeholder Content
To facilitate the design process and visual layout, Adster may use AI-generated, royalty-free, or demo placeholder content during the mockup and Beta phases. These are intended for preview purposes only.
It is the Client’s responsibility to:
· Carefully review all placeholder content before the website goes live
· Replace all temporary content with final, original material as required
· Ensure the published site complies with applicable New Zealand laws and professional standards
6.3 E-Commerce Setup, Product Insertion & Client Responsibility
E-Commerce Structure & Platform Use
When the Client requests an e-commerce website (using platforms such as Wix, Hostinger, or WordPress), the following terms apply:
· Standard online store features — such as product listings, shopping cart, checkout functionality, and store layout — are included according to the selected rental plan.
· Advanced features (e.g. POS integrations, real-time stock syncing, or custom payment gateways) may incur additional setup fees and may require a plan upgrade, CMS platform, or third-party tools.
· Adster.nz does not guarantee the availability of all e-commerce functions on every platform and will provide guidance based on the chosen setup.
Product Setup Options
The Client may select one of the following options:
Option 1: Self-Managed Product Entry
· Adster will provide two training sessions (2–4 hours total) to guide the Client in manually managing products via the backend.
· This training is included free of charge with e-commerce website plans — ideal for Clients who wish to maintain control of their catalogue.
Option 2: Done-for-You Product Insertion
· The Client must submit product data using Adster’s shared content format, including:
o Product titles
o Descriptions & categories
o Up to 5 images per product
o Pricing
· Product insertion is billed at NZD 2 per product, invoiced at the end of the month.
· Edits, removals, or content replacements are also charged NZD 2 per item, with a standard turnaround time of 24–72 hours depending on volume or complexity.
⚠️ Pricing applies for up to 50 products. Beyond this, or if ongoing updates become excessive, Adster.nz reserves the right to discontinue product management services with 15 days' written notice. This allows the Client to assign a staff member internally or negotiate a new service package if ongoing outsourcing is preferred.
Client Responsibility for Content & Legal Compliance
The Client confirms that:
· All media and content submitted (text, images, product information) are either owned or properly licensed.
· Product listings must be reviewed and approved before the store goes live.
Adster.nz is not liable for:
· Inaccurate, outdated, or misleading product descriptions
· Copyright infringement or unlicensed content
· Errors in pricing, tax, delivery terms, or legal disclaimers
Online Payments & Legal Responsibilities
· All payment processing accounts (e.g. PayPal, Stripe) must be created and owned by the Client. Adster can assist with setup and integration.
· The Client is responsible for compliance with New Zealand law, including:
o The Fair Trading Act
o The Consumer Guarantees Act
o GST obligations, where applicable
o Clear display of pricing, shipping, refund terms, and privacy policy
o Data protection obligations under the Privacy Act 2020
Adster.nz does not act as a payment processor or merchant, and is not responsible for failed transactions, chargebacks, or disputes between the Client and their customers.
7.0 Cancellation Policy
7.1 Early Termination by the Client
The Client may cancel their website rental agreement at any time by providing written notice via email to adster.nz@gmail.com.
If cancellation occurs before the end of the agreed lease term, the following conditions apply:
· If cancellation occurs within six (6) months from the date of Beta launch, a penalty equivalent to six (6) months of rental fees will be charged.
· If cancellation occurs after six (6) months, a reduced penalty equal to two (2) months of rental fees will apply.
· The NZD 115 setup fee is non-refundable under any circumstances.
· The website will be unpublished and deactivated at the end of the current billing cycle, unless otherwise agreed in writing.
These penalties are intended to cover the administrative, production, and operational efforts incurred by Adster.nz during the site setup and rental period.
7.2 Mid-Term Pausing or Downgrade Requests
Requests to pause a subscription or downgrade to a lower website plan are not permitted during the fixed lease period.
All website rental agreements are locked in for the full term to ensure service continuity, design integrity, and ownership eligibility.
If a Client wishes to significantly change their plan, the current agreement must be formally cancelled and replaced by a new agreement.
7.3 Post-Cancellation Responsibility
Upon cancellation:
· Domain name: If the domain was registered by Adster on the Client’s behalf, it may be released or transferred upon written request, subject to all outstanding payments and cancellation penalties being cleared.
· Website content and files: Any remaining site data will be permanently deleted from Adster’s servers 30 days after cancellation, unless otherwise arranged in writing.
7.4 Contractor-Initiated Termination
Adster.nz reserves the right to terminate a rental agreement at any time for serious cause, including but not limited to:
· Persistent non-payment or breach of payment terms
· Abusive, inappropriate, or threatening behaviour toward staff
· Misuse or fraudulent use of the website or platform
· Material breach of contract or misuse of services
The Client will be formally notified via email.
In such cases:
· The same cancellation conditions and penalties outlined in Section 7.3 apply.
· Domain name: If the domain was purchased and paid for by the Client, it may be transferred upon request, once all dues and applicable admin fees are settled.
· Website ownership: As per the rental agreement, the website remains the property of Adster.nz unless a formal transfer of ownership has been contractually completed.
In cases of contractor-initiated termination, ownership does not transfer.
· Content access: The Client may request an export of any text or media they originally provided. This request is subject to a processing fee and provided at Adster’s discretion.
· Immediate termination: In the event of serious breaches (e.g. illegal content, fraud, defamation, or abuse of the platform), Adster reserves the right to immediately suspend access and unpublish the site without prior notice.
These policies are in place to safeguard Adster’s operational integrity, platform security, and legal compliance.
8.0 Confidentiality
8.1 Confidential Information
Both parties agree to maintain the confidentiality of all project-related information, including but not limited to:
· Business strategies
· Pricing and quotes
· Website designs or prototypes
No such information may be disclosed to third parties without prior written consent, unless required by law.
8.2 Exclusions
The confidentiality obligation does not apply to:
· Information already publicly available
· Information that must be disclosed by law, regulation, or court order
8.3 Portfolio Usage
The Client agrees that Adster.nz (operated by CF Business Consultant Ltd) may use the business name, logo, and general business information for marketing and promotional purposes, including:
· Portfolio listings
· Website showcases
· Social media posts
· Promotional materials and presentations
Adster.nz will never disclose confidential strategies, sensitive internal data, or financial details beyond what is already public or explicitly authorised by the Client.
9.0 Privacy & Compliance
9.1 Privacy Policy
Adster.nz collects and manages personal data in accordance with the New Zealand Privacy Act 2020.
Client information is used solely for:
· Delivering agreed website services
· Account management
· Direct client communication
All data is stored securely and is not sold, rented, or disclosed to third parties without the Client’s express consent, unless required by law.
By using Adster.nz services, the Client consents to this data handling approach as outlined in our Privacy Policy (available on request or at www.adster.nz).
Information submitted via forms, emails, or onboarding documents is treated as confidential and may be retained for internal record-keeping and compliance purposes.
Clients may request to access, correct, or delete their personal data at any time by contacting:

10.0 Force Majeure
10.1 Force Majeure Enforcement
The Contractor shall not be held liable for any delay or failure to perform its obligations under this Agreement due to unforeseeable events beyond its reasonable control. These may include, but are not limited to:
· Natural disasters (e.g. earthquakes, floods)
· Major internet outages or hosting platform failures
· War, terrorism, or civil unrest
· Government restrictions or lockdowns
· Widespread power or infrastructure failure
In the event of force majeure, the Contractor will notify the Client as soon as reasonably practicable and resume services once the disruption has ended.
No refund or penalty shall apply for delays during the affected period.
Adster.nz may update these Terms and Conditions as needed to reflect legal changes or service improvements.
The latest version will always be available at www.adster.nz and applies to all active and future service agreements.
By proceeding with a rental plan, the Client confirms they have read, understood, and agreed to these terms.
11.0 Miscellaneous
11.1 Entire Agreement
This Agreement represents the entire understanding between the Client and Adster.nz (operated by CF Business Consultant Ltd) in relation to the website rental service.
It overrides all prior discussions, offers, or communications, whether written or verbal.
11.2 Amendments
Adster.nz reserves the right to modify these Terms and Conditions at any time to reflect:
· Changes in services
· Legal or regulatory compliance
· Internal policy updates
Any updates will be posted on www.adster.nz and take immediate effect for new Clients.
Existing Clients will be notified of any material changes that affect ongoing contracts.
11.3 Assignment
The Client may not assign, transfer, or sublicense any part of this Agreement without prior written consent from Adster.nz.
Any unauthorised assignment will be considered invalid and unenforceable.
11.4 No Waiver
If either party fails to enforce any provision of this Agreement, it shall not be interpreted as a waiver of the right to enforce it later or to enforce any other provision.
11.5 Validity
If any clause of this Agreement is found to be invalid or unenforceable under New Zealand law, it shall be modified or removed as necessary, without affecting the validity of the remaining provisions.
12.0 Legal Disputes & Jurisdiction
12.1 Governing Law
This Agreement is governed by and shall be interpreted in accordance with the laws of New Zealand.
12.2 Jurisdiction
Any disputes, claims, or legal proceedings arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of New Zealand, unless otherwise required by law.
12.3 Dispute Resolution / Indemnity / Legal Costs
Before taking legal action, both parties agree to first attempt to resolve any dispute through good faith negotiation.
If the dispute is not resolved within 14 days of written notice, either party may pursue legal remedies.
Under no circumstances shall Adster.nz be held liable to the Client for any amount exceeding the total fees paid for the website rental service, plus any reasonable legal costs awarded by a New Zealand court.
This limitation of liability applies to all claims, including but not limited to breach of contract, negligence, or tort.
The Client agrees to indemnify and hold Adster.nz harmless from any claims, losses, damages, or expenses (including legal fees) resulting from:
· The Client’s website content
· Products or services sold via the website
· Use of third-party tools or integrations
· Legal or reputational issues stemming from the Client’s business operations
Adster.nz shall not be liable for any harm, legal disputes, or loss resulting from the use, content, or functionality of the website once delivered or published.
Acknowledgment & Acceptance
By signing below, both parties confirm that they have read, understood, and agreed to the terms of this Agreement.
ONLINE: Acknowledgment & Acceptance (Online Version)
By submitting the registration form for a Rent-a-Web plan and selecting “I have read and agree to the Terms & Conditions,” the applicant confirms that they have read, understood, and accepted the full Website Rental Terms & Conditions provided by Adster.nz.
This action constitutes a legally binding agreement, equivalent to a handwritten signature under New Zealand law.
No additional signature is required.
