This Agreement outlines the terms and conditions between:

and the Client, who agrees to the terms below upon registering via the Adster.co.nz platform and proceeding with any of our website rental services.

By using our services, you acknowledge that you have read, understood, and agreed to these terms in full.

Service Overview – Adster.co.nz

Adster provides lease-to-own website solutions designed for small businesses, startups, and growing brands. The service includes full website design, hosting, and ongoing support during the rental term, with optional upgrades available — all without large upfront costs, and with no payment required until your first homepage preview is approved.

Website Rental Plans Offered

One-page website – 12-month lease

Six-page website – 18-month lease

Tailored website (2–20 pages) – 12 to 22-month lease (based on scope)

Ownership & Hosting

Adster retains full ownership of the website during the rental period

Full ownership is transferred to the Client upon completion of the lease and payment of a NZ$15 transfer fee

Hosting is provided free of charge throughout the rental period

Third party limitations
While Adster maintains and builds sites using selected third-party platforms, their terms and restrictions apply. Adster is not responsible for platform-specific limitations, including but not limited to: inability to transfer internal website structures, limitations on certain integrations, or platform-related subscription changes.

1.0 Definitions

For this Agreement, the following definitions apply:

1.1 Section

A distinct part of a webpage dedicated to a specific type of content such as text, images, media, or interactive features.

1.2 Call to Action (CTA)

A visual element (e.g. button, banner, or link) designed to prompt the visitor to take an action — such as booking, submitting a form, or making a purchase.

1.3 Hosting

A service provided by the Contractor to ensure the website remains accessible online, with files and content securely stored and maintained during the rental period.

1.4 Domain Name

A unique web address (e.g. www.businessname.co.nz) that users enter to access the site. Domain names are not included in rental plans and are billed separately.

Domain Name Management Process:

  • The Client provides a list of three preferred domain names

  • The Contractor checks availability and provides pricing

  • Common costs range from NZ$7–NZ$40 for .com, and NZ$60–NZ$150 and above for .co.nz per year

  • A flat NZ$15 admin fee applies for securing, connecting, and annually renewing domains

1.5 Add-on

An optional feature or enhancement — such as additional sections, animation, layout adjustments, or added functionality — that increases the rental fee or is billed separately.

1.6 Template

A pre-designed website model selected by the Client as the foundation for the website. Templates are then customised to reflect the Client’s brand, goals, and structure.

1.7 Page Add-on

Additional full pages (beyond the agreed site package) added to the website structure. Billed at NZ$10/month per page.
Product pages are included for free, and up to 50 items are included; additional product management requires a custom quote or CMS upgrade.

1.8 One-page Website

A vertically stacked site made up of up to 8 sections, all accessible via scrolling or menu links, ideal for service-based startups or as a landing page.

1.9 Six-page Website

A structured website with distinct pages (e.g. Home, About, Services, Contact, FAQ, Gallery) to support more content and features.

1.10 Responsive Design

A layout that automatically adjusts to various screen sizes — desktops, tablets, and mobile phones — for optimal user experience.

1.11 Customisation

The process of adapting the template with the Client’s brand content, business tone, and preferred layout, based on the form submitted.

1.12 Content Management System (CMS)

A platform (like WordPress) that supports more complex features such as blogs, user login systems, multiple administrators, or advanced SEO tools.

1.13 Non-CMS Website

A streamlined site built using a visual builder (e.g. Wix, Hostinger) and delivered as a completed project at the end of the rental period.

1.14 Deployment

The stage where the site goes live on the internet under the Client’s domain or temporary Adster link, following mockup approval and Beta version completion.

1.15 Maintenance

Ongoing technical updates, bug resolution, and minor edits carried out by the Contractor during the rental period. Further support after rental is available by retainer or hourly billing.

2.0 Scope of Work & Timelines

2.1 Website Setup Process

Websites are built using trusted third-party platforms such as Hostinger, WordPress, or Wix, depending on the Client’s needs and the selected package. While hosting is included throughout the lease term, platform-specific limitations apply. Website structures are generally non-transferable between platforms. However:

  • Websites designed using WordPress may be eligible for file and database migration upon request.

  • Websites built on Wix or Hostinger’s native builders are non-transferrable in structure or code, but full account access can be transferred to the Client at the end of the lease, allowing continued use and management within the same platform.

  • Any access handover is subject to the platform's terms of service and may require ID verification or written consent.

Upon registration to the Adster.co.nz “Rent-a-Web” program, the Client is required to complete an online design questionnaire. This form allows the Contractor to gather key business information, branding preferences, structural needs, and relevant content.

The Contractor will then:

  • Provide a homepage mockup within 7–8 business days

  • Deliver a complete Beta version (structure, layout, and demo content) within 15 days of receiving all required material from the Client

Note: These timelines may shift if essential content or material is delayed.

2.2 Mockup and Beta Version Content

To help the Client visualise their future site, the Contractor will:

  • Provide contextual placeholder text based on the Client’s questionnaire

  • Use AI-generated or royalty-free visuals for layout and branding demonstration

  • Apply basic branding (colours, logo, structure) for mockup realism

The Client may later request to update or replace all text and images with their own content at no additional cost, provided it remains within the scope of the selected plan.

2.3 Beta Approval, Work Sessions, and Rental Start

Before the Beta version goes live, the Contractor will organise up to two collaborative work sessions (via video call or live walkthrough) with the Client. These sessions (typically 1–2 hours each) allow the Client to:

  • Navigate the entire site

  • Review key pages, features, and structure

  • Provide feedback to align the layout, navigation, and styling with their needs

The Contractor will implement the agreed revisions following these sessions. Once the Beta version is finalised and published (either under the Client’s domain or a temporary URL), a 10-day review window begins. During this time, the Client may request:

  • Basic edits, corrections, or bug fixes

  • Navigation flow tweaks or small layout changes

After this review period, major revisions or structural adjustments will be billed separately as per Section 4.3.

Monthly rental payments commence once the Beta version is published live, regardless of whether the Client has submitted all final images or content.

⚠️ Note: Our two work sessions prior to Beta launch are designed to encourage clear, collaborative decision-making, so your site aligns with your goals early on. This model helps- us offer affordable, upfront-free service — but it also means that ongoing re-evaluations or repeated major changes are not included in the rental agreement and will be billed accordingly. We aim for thoughtful design — not endless back and forth.

2.4 Hosting and Domain Connection

The Contractor will:

  • Host the website on a secure platform for the entire rental period

  • Connect the website to the Client’s domain (either supplied or purchased on their behalf)

  • Manage basic uptime monitoring and performance checks

Domain name registration and renewal are subject to third-party provider pricing. A flat NZ$15 admin fee applies for initial setup and annual renewal.

3.0 Rental Plans & Payment Terms

  • Ongoing support during the lease

3.2 Add-On Pages and Custom Features

Additional pages beyond the selected package can be added at NZ$10/month per page. Other enhancements (such as animations, custom layout blocks, or third-party integrations) may incur additional charges and will be quoted in advance.
3.3 Setup and Activation Fee

A one-time NZ$12 setup fee is charged only after the homepage mockup is approved and the client chooses to proceed. No payments are required before that point.

3.4 Monthly Payments

Monthly rental payments commence once the Beta version of the website is published online.

This follows the delivery of a fully structured and navigable website, aligned with the Client’s input during the initial mockup review and the two included work sessions. The Beta version represents a functional draft that incorporates the agreed layout, structure, and design direction.

While the Client may request to replace placeholder content or images after the Beta is live, the website is considered active and operational, and billing will not be deferred.

Any substantial changes or structural revisions beyond the two included work sessions will be quoted and billed separately at the standard hourly rate (NZ$40/hour), with payment required in advance of implementation.

Clients who choose to delay the site’s publication after design alignment may still be invoiced for rental fees, as the design infrastructure and core service have already been delivered.

3.5 End of Lease Transfer

Upon full payment of all rental dues, the Contractor will transfer full administrative access to the Client for a one-time NZ$15 ownership transfer fee.

The transfer includes:

  • Migration or handover of website platform credentials

  • Domain reassignment (if applicable)

  • Removal of Adster’s administrative access

  • Final technical check to ensure the site is fully self-managed

Optional: Clients may also opt into an ongoing support retainer after the transfer is complete. This includes priority assistance, minor updates, and domain renewal support — see Section 4.2 for full details.


3.6 Payment Method

All rental payments and associated fees are processed exclusively through PayPal at this time.
This provides clients with the benefit of:

  • Secure transactions

  • Purchase protection through PayPal’s buyer safeguards

  • Easy-to-manage monthly billing and cancellation controls

Clients will receive a secure PayPal subscription link once their homepage mockup is approved and they choose to proceed with the rental.

No payment is required before this step.

4.0 Support & Post-Rental Services

4.1 Ongoing Support During the Rental Period

The Contractor provides the following support at no extra charge during the active rental period:

  • Two scheduled revision sessions during development (1–2 hours each) to align structure, style, and navigation.

  • A 10-day post-launch window for correcting minor errors (e.g. typos, broken links, navigation issues).

  • Technical support for resolving issues related to the initial build or server-related disruptions.

4.2 Optional Retainer Plan

Clients may opt in to a support retainer plan at NZ$15/month for enhanced coverage, which includes:

  • Priority support with faster turnaround.

  • Assistance with domain renewals or technical questions.

  • Basic site updates (up to 30 minutes per month).

  • Uptime monitoring and plugin health checks (if applicable).

This plan can be activated during or after the rental period by written request.

5.0 Website Transfer After Rental Completion

5.1 Ownership transfer

Once the full rental period is completed and all payments settled:

  • A one-time NZ$15 transfer fee is invoiced for the transfer admin fee.

  • The website will be disconnected from Adster’s hosting and transferred to the Client’s preferred platform (e.g. Wix, Hostinger, WordPress).

  • All editable files, access credentials, and associated assets will be handed over.

After transfer:

  • Adster’s support obligations end unless a separate support or retainer agreement is signed.

  • The Client assumes full responsibility for hosting, backups, performance, and domain renewal.

5.2 Third-Party Limitations

Adster is not liable for:

  • Downtime, errors, or data loss caused by third-party services like hosting providers, payment processors, or domain registrars.

  • Any configuration or integration failures that occur after transfer and are outside the scope of the original rental agreement.

5.3 Client Responsibilities & Limitations

The Client agrees to provide accurate and complete information required for the development of their website, including:

  • Completion of the design questionnaire

  • Submission of preferred images, text, and branding assets (if applicable)

  • Timely responses to feedback requests during mockup and revision stages

Failure to provide content within a reasonable time may delay the project and does not exempt the Client from lease payments once the structured Beta version is published.

5.2 Compliance

The Client is solely responsible for:

  • Ensuring their business complies with New Zealand laws, including but not limited to the Fair Trading Act, Consumer Guarantees Act, and Privacy Act 2020

  • The legal accuracy of their website content (e.g. policies, disclaimers, business claims)

  • Maintaining their own login credentials securely once access is granted

  • Renewing domain names, emails, or hosting once ownership is transferred

5.3 Client agreement

The Client agrees not to upload or request inclusion of any:

  • Content that is unlawful, defamatory, or discriminatory

  • Copyrighted materials without permission

  • Malware, tracking codes, or external scripts that pose a security risk

The Contractor reserves the right to refuse or remove any such content.

5.4 Adster.co.nz no guarantee

Adster does not guarantee specific traffic volumes, search engine rankings, or business outcomes unless explicitly stated in a separate service agreement (e.g. a digital marketing package).

5.5 Timeframe of deliverables 

While we aim to meet all agreed timeframes (e.g. mockup within 7–8 business days; launch within 10–15 days), the Contractor is not responsible for delays caused by Client inaction, platform outages, or third-party service interruptions.

5.6 Account Access and Transfer

At the end of the agreed lease term, and once all rental payments and the one-time NZ$15 transfer fee are settled, the Contractor will:

  • Transfer administrative access to the website by handing over credentials of the hosting account (when applicable), or

  • Transfer full website ownership via platform-specific procedures (e.g., Wix, Hostinger, or WordPress).

Important Notes:

  • Websites built with Wix or Hostinger’s native builder tools may not support direct file-based migration. In such cases, the entire account linked to the website (e.g., a clientname@adster.co.nz Hostinger account) will be transferred to the Client, including any linked email and hosting assets.

  • Websites built on WordPress (self-hosted) may be transferred via standard export/migration methods and hosted under the Client's own hosting service if preferred.

  • Following the transfer, Adster will remove its administrative access and will no longer be responsible for support, content updates, hosting renewals, or platform-specific issues unless a new support agreement is signed.

The Client is responsible for ensuring they comply with the terms of use of the platform where their website is hosted after the transfer.

6.0 Client Content Responsibility

6.1 Client-Provided Materials

The Client is solely responsible for all content (including but not limited to text, images, product information, branding, claims, and external links) that they provide or approve for use on their website.

Adster does not verify the legality, accuracy, or originality of such materials and shall not be held liable for:

  • Copyright infringement

  • Defamation

  • Misrepresentation

  • Fraudulent or misleading information

6.2 Use of Placeholder Content

To support layout design and visual alignment, Adster may supply AI-generated, royalty-free, or contextual placeholder content during the mockup and Beta stages. These materials are intended to help the Client visualise the website and are not final.

It is the Client’s responsibility to:

  • Review all such placeholder content before launch

  • Replace it with original material where required

  • Confirm that all content meets their legal and professional obligations

6.3 E-Commerce Setup, Product Insertion & Client Responsibility

Where the Client requests an e-commerce feature (via platforms like Wix, Hostinger, or WordPress), the following terms apply:

E-Commerce Structure & Platform Use

  • Standard e-commerce functionalities (e.g. product listings, shopping cart, checkout, basic store layout) are included based on the selected website plan.

  • Advanced features such as POS system integration, real-time stock syncing, or custom payment gateways may incur additional setup fees and may require plan upgrades or third-party tools.

  • Adster does not guarantee availability of all e-commerce features on every platform, and will advise accordingly.

Product Content Submission

The Client may choose one of the following product setup methods:

Option 1: Self-Managed Product Entry

  • The Contractor will provide a one-time 2-hour training workshop to guide the Client on how to manually insert or manage product items from the website back-end.

  • This option is included free with the e-commerce lease plan and is suitable for clients preferring ongoing control over their catalogue.

Option 2: Done-for-You Product Insertion

  • The Client must submit all product data via Adster’s shared content protocol, including:

    • Product titles

    • Descriptions and categories

    • Up to 5 images per product

    • Pricing

  • Product insertion is charged at NZ$2 per product.

  • Edits, removals, or content replacements are also NZ$2 per item, with a 24–72 hour turnaround. (depending on volume or queries)

  • The above pricing applies for up to 50 products; beyond that, a custom quote will be provided.

Responsibility for Accuracy & Legal Compliance

  • The Client affirms they own or have licensed all media and text content submitted.

  • The Client must review and approve product listings prior to the store going live.

  • The Contractor is not liable for:

    • Inaccurate, outdated, or misleading product information

    • Copyright violations or unlicensed media

    • Errors or omissions in pricing, product descriptions, tax, or legal disclaimers

Online Payment Integration

  • Payment accounts (e.g. Stripe, PayPal) must be created and owned by the Client. Adster may assist in connecting these accounts upon transfer or request.

  • It is the Client’s responsibility to ensure compliance with New Zealand consumer law, including refund policies, delivery terms, GST registration and data handling regulations.

  • The Contractor does not act as a merchant or payment intermediary and shall not be held responsible for payment disputes, chargebacks, or failed transactions.

6.4 Final Approval

By approving the Beta version or proceeding to publish, the Client confirms that they have reviewed and validated the content displayed and accept full responsibility for its accuracy and compliance.

7.0 Cancellation Policy

7.1 Early Termination by the Client

The Client may cancel their rental agreement at any time by providing written notice via email to info@adster.co.nz.

Upon cancellation:

  • The NZ$12 setup fee (if already paid) is non-refundable.

  • A two-month penalty fee applies. This covers early termination administration and domain release processing.

  • The website will be disconnected and unpublished at the end of the current billing cycle unless otherwise agreed in writing.

7.2 Mid-Term Pausing or Downgrade Requests

Pausing the rental or switching to a smaller plan is not supported during the rental period. All plans are fixed for their contractual term to maintain consistency in service and ownership rights.

7.3 Post-Cancellation Responsibility

After cancellation:

  • Adster will release the domain upon request (if it was registered on the Client’s behalf), subject to the penalty and all outstanding dues being cleared.

  • Any remaining files or content associated with the website will be removed from Adster’s servers after 30 days, unless otherwise arranged.

7.4 Contractor-Initiated Termination

In rare cases, Adster reserves the right to terminate the agreement due to non-payment, abusive conduct, or breach of terms. The same cancellation process and penalties apply, and the Client will be notified formally via email.

8.0 Legal & Jurisdiction

8.1 Governance
This Agreement is governed by the laws of New Zealand, and any disputes arising from it shall be subject to the exclusive jurisdiction of New Zealand courts.

8.2 Agreement conditions
If any clause within this Agreement is found to be unenforceable or invalid under New Zealand law, that clause shall be removed or amended without affecting the remaining sections of the Agreement.

9.0 Privacy & Compliance

9.1 Privacy policy

Adster collects and processes personal data in accordance with the New Zealand Privacy Act 2020. Any information shared by the Client is used solely for the purposes of service delivery, account management, and communication.

No personal or business data will be sold or shared with third parties without the Client’s consent, unless legally required. By using Adster’s services, the Client consents to this data handling as outlined in the Privacy Policy (or your live link, when ready).

10.0 Force Majeure

10.1 Force Majeure enforcement

The Contractor shall not be held liable for any delay or failure in performance of its obligations if such delay is due to unforeseen circumstances beyond its reasonable control. These may include but are not limited to:

  • Natural disasters (e.g. earthquakes, floods)

  • Internet or hosting platform outages

  • Acts of war or terrorism

  • Government-imposed restrictions or lockdowns

  • Systemic power failures

In such events, the Contractor will notify the Client as soon as reasonably possible and resume services once the disruption ends. No refund or penalty shall apply during the affected period.

The Contractor may update these Terms and Conditions from time to time to reflect service changes or legal compliance. The latest version will always be available on www.adster.co.nz and will apply to all active and future rental agreements.

By proceeding with any Adster rental plan, the Client confirms that they have read, understood, and agreed to the terms contained in this Agreement.
